We advised Stonepeak on the purchase of Lumen’s Latin American business

On July 26, 2021, Stonepeak and Lumen announced the signing of an agreement for the acquisition of Lumen's Latin American business for USD 2.7 billion. Marval O’Farrell Mairal advised Stonepeak on matters pertaining to Argentine law through a team consisting of partners Hernan Slemenson and Daniel F. Di Paola, and associates P. Matías Brouchy and Nicolás G. De Iure.    

Under the terms of the purchase agreement, Lumen will divest its Latin American business to a US headquartered portfolio company of Stonepeak. The current organization will remain in place. Lumen will also retain a strategic relationship with Stonepeak's portfolio company and continue to serve joint customers in the region.

The transaction is expected to close in the first half of 2022, subject to the approval by regulatory authorities in the US and certain Latin American countries, among other prior customary conditions for transactions of this type.
